The Fluent file is in ASCII format and created by ICEM CFD Version 11.

According to ICEM CFD this Fluent file has the Fluent V6 format. I don't know whether openFoam 1.5 supports Fluent V6 file.

Hi N.Wei!

This is just a guess: was the ASCII-file created on a Windoze-machine and moved to Linux/Unix/etc? In that case try dos2unix or a similar utility on it before trying to convert it (see discusions about Windows-Newline is two times ***x-newline elsewhere on the board and if I remember it correctly fluentMeshToFoam cares about that difference)
