ANSYS AND reaction design ANNOUNCE SIGNING OF DEFINITIVE MERGER AGREEMENT

Addition of chemistry simulation software leader bolsters ANSYS’ product portfolio

PITTSBURGH and SAN DIEGO – December 4, 2013 – ANSYS (NASDAQ: ANSS), a global leader and innovator of engineering simulation software, announced today that it has entered into a definitive merger agreement with Reaction Design, a leading developer of chemistry simulation software. The transaction is expected to close in January 2014. Management will provide further details regarding the transaction and its impact on the 2014 financial outlook subsequent to the closing.

Headquartered in San Diego, Reaction Design serves more than 400 customers around the world. Its flagship product, CHEMKIN-PRO, is the gold standard for modeling and simulating gas-phase and surface chemistry.

The combination of ANSYS’ proven computational fluid dynamics (CFD) solutions with Reaction Design’s industry-leading chemistry solvers will provide the best-in-class combustion simulation tools available on the market. Understanding and predicting the effects of chemistry in a combustion system is critical to developing competitive products in transportation, energy and materials processing applications. Relying on experimental testing alone for accurate performance validation is inadequate, given today’s complex designs and shortened design cycles. Effective simulation of the underlying detailed chemistry is critical to advancements in engine and fuel technology. Reaction Design’s solutions enable transportation manufacturers and energy companies to rapidly achieve their clean technology goals by automating the analysis of chemical processes via computer simulation and modeling solutions. The acquisition of Reaction Design complements ANSYS’ offering for the simulation of internal combustion engines, leading to improved fuel efficiency.

“Companies across industries want to offer products – from airplanes to automobiles to gas turbines – with improved fuel efficiency,” said Jim Cashman, ANSYS CEO. “For more than 15 years, Reaction Design has helped companies around the world to better understand chemical processes. Combining its solvers with ANSYS’ solutions will give customers new insights into the combustion processes in their products – driving increased fuel efficiency. Reaction Design’s simulation software is validated and user friendly, making it a great fit with the ANSYS family of solutions. This continues ANSYS’ commitment to broadening our portfolio of solutions and our wealth of talent and expertise, both organically and through targeted acquisitions.”

“We’re very excited to become a part of the ANSYS family,” said Bernie Rosenthal, CEO of Reaction Design. “We’ve admired the work that ANSYS has done over the last 40 years in helping customers to realize their product promise. I have no doubt that we’ll be able to add great value to ANSYS and to its customers. Reaction Design’s legacy customers will also benefit from increased access to the ANSYS suite of simulation solutions.”

About Reaction Design Reaction Design, a San Diego, California-based software supplier, enables transportation manufacturers and energy companies to rapidly achieve their clean technology goals by automating the analysis of chemical processes via computer simulation and modeling solutions.

Reaction Design is the exclusive developer and distributor of CHEMKIN and CHEMKIN-PRO, the gold standard for modeling gas-phase and surface chemistry that provides engineers ultra-fast access to reliable answers that save time and money in the development process. Reaction Design’s FORTÉ is an advanced computational fluid dynamics (CFD) simulation package for realistic 3D modeling of fuel effects in internal combustion engines with superior time-to-solution metrics that fit in commercial development timeframes. Reaction Design’s ENERGICO software brings accurate chemistry simulation to gas turbine and boiler/furnace combustion systems using automated reactor network analysis. Reaction Design also offers the CHEMKIN-CFD software module, which brings detailed kinetics modeling to other engineering applications, such as CFD packages.

Reaction Design’s world-class engineers, chemists and programmers have expertise that spans multi-scale engineering from the molecule to the engine. Reaction Design serves more than 400 customers in the commercial, government and academic markets.
